Terms of Service

Effective date: July 12, 2026

These Terms of Service ("Terms") govern your use of the Memory Keep service, including the memorial website at memorykeep.online and galleries.memorykeep.online, and the memorial management portal at my.memorykeep.online (collectively, the "Service"). By using the Service, you agree to these Terms.

The Service

Memory Keep provides an online memorial service that allows customers to upload and share photos, videos, and other content in tribute to loved ones who have passed. Access to the memorial management portal is granted to customers who have created a memorial, either through the free sign-up at my.memorykeep.online/signup or the one-time purchase at my.memorykeep.online/buy.

Plans & Payment

Memory Keep offers two plans:

  • Free memorial — every feature of the service, with a capacity of up to 10 photos and videos. Free memorials do not expire and are never converted to paid automatically.
  • Full memorial — a single one-time payment that unlocks unlimited photos and videos and the additional capabilities described on our pricing page. There is no subscription and no recurring charge.

Payments are processed by Stripe; the amount charged is the price shown at checkout. Applicable taxes, if any, are as presented by Stripe at the time of purchase. If something has gone wrong with a purchase, contact us at [email protected] and we will work with you to put it right.

Your Account & Security

Access to the memorial management portal requires signing in with your email address or a Google account. Sign-in links sent to your email are single-use and expire after 20 minutes. You should not share your sign-in link with others. Your account is associated with the email address used at the time of purchase. If you need to change your associated email address, please contact us.

Co-owners. You may invite one trusted person as a co-owner of your memorial. A co-owner can care for the memorial with nearly the same abilities as you, except requesting permanent deletion and managing the co-owner invitation itself. You are responsible for choosing who you invite; co-owner actions on the memorial are treated as authorised by you. You can remove a co-owner at any time from your dashboard.

It is your sole responsibility to keep your account, user name, and sign-in details confidential. You understand and agree that you are solely responsible for maintaining all personal password, data, file, and network security required to access the Service. This includes, but is not limited to, ensuring active firewall protections, updated anti-virus software, and anti-spyware software are operational on your devices, and preventing unauthorized physical or electronic access to your devices.

Age Requirements

If you are under the age required to manage your own online accounts under your local jurisdiction, you must have your parent or legal guardian's explicit permission to use a Memory Keep account. Please have your parent or legal guardian read these Terms with you. If you are a parent or legal guardian and you allow your child to use the Service, then these Terms apply to you and you are legally responsible for your child's activity on the Service.

Access Grant & Restrictions

Subject to your compliance with these Terms, Memory Keep grants you a non-exclusive, non-transferable, non-sublicensable, and revocable right to access the Service solely for your individual or internal business purposes. This access is strictly limited by the parameters set forth herein, as well as any transaction-specific limits (such as memorial counts or terms) detailed at checkout or on an applicable Order Form.

You may not reproduce, resell, assign, grant third-party access to, license, sub-license, market, or otherwise redistribute the Service or any Memory Keep intellectual property. You strictly agree that you shall not, nor shall you allow or encourage any third party to:

  • Attempt to reverse engineer, decompile, disassemble, translate, or otherwise modify the Platform or its underlying code
  • Defeat, disable, bypass, or circumvent any protection mechanisms or security controls related to the Service, including performing unauthorized network/system scanning or executing penetration testing
  • Utilize automated means, including scripts, bots, scrapers, or spiders, to systematically harvest data or submit high-volume streams to the Service
  • Allow any unauthorized third party to maintain, modify, or alter the Platform or its features

Your Content & Moderation

You retain full ownership of all photos, videos, audio, and other content you upload to Memory Keep ("Your Content"). By uploading content, you grant us a limited licence to store, process, and display it as part of the Service — nothing more.

You are responsible for ensuring you have the legal right to upload and share any content you submit. You represent that Your Content does not infringe on the intellectual property, privacy, or other rights of any third party.

We may, but have no obligation to, monitor Your Content. We reserve the right to access, preserve, and disclose any information or content necessary to satisfy our legal obligations, protect ourselves, our users, or our affiliates, or to operate the Service properly. Memory Keep, in its sole discretion, reserves the absolute right to refuse to post, to remove, or to redact any content, in whole or in part, that we determine to be unacceptable, undesirable, inappropriate, or in violation of these Terms.

Visitor Tributes & Contributor Invites

Visitors to a public memorial may leave tributes and light candles. Anyone submitting a tribute agrees to these Terms and to the Acceptable Use rules below. As the memorial owner, you are the first moderator of your own memorial: you may hide or remove any tribute, and you may turn off new tribute submissions entirely. We may also remove visitor contributions that violate these Terms.

You may share contributor invite links that let family and friends add photos and videos without creating an account. Anyone holding the link can upload to your review queue (or directly, if you enable auto-approval), so treat invite links like keys: share them only with people you trust, and revoke them from your dashboard when they are no longer needed. Content added by your contributors is treated as content you have accepted onto your memorial once you approve it.

AI-Assisted Features

The Service includes optional writing and presentation aids powered by an AI model (see our Privacy Policy for exactly what data these features process). AI output is a draft for your review — nothing is published to a memorial without a person choosing to use it. You are responsible for the content you publish, including content you adapted from an AI suggestion. AI suggestions may occasionally be imperfect; please read anything it drafts about your loved one before sharing it.

Acceptable Use

You agree not to upload or share content that:

  • Is unlawful, harmful, threatening, abusive, harassing, or defamatory
  • Infringes any copyright, trademark, or other intellectual property rights
  • Contains nudity, sexually explicit material, or graphic violence
  • Promotes hatred or discrimination against any person or group
  • Contains malware, viruses, or any malicious code
  • Violates the privacy of any individual without their consent

You also agree not to use the Service to:

  • Utilise the memorial management portal as a general file backup, cloud storage drive, or data repository for content unrelated to an active memorial
  • Upload bulk media libraries, raw uncompressed video formats, or use automated tools or bots to upload content in ways designed to systematically consume server capacity
  • Repurpose a memorial for commercial hosting, advertising products, or distribution of high-volume public media streams

Fair Use, Storage Policy, & Data Disclaimer

Full-access accounts include unlimited storage for photos, videos, and audio content, provided that such usage aligns with the intended purpose of the Service — specifically, creating a standard online memorial in tribute to a deceased individual. Where our site says "unlimited", it means unlimited for genuine memorial use — no family remembering a loved one should ever think about a cap — not unlimited for any purpose.

"Unlimited storage" does not constitute an unrestricted cloud storage or file-hosting backup service for general, commercial, or unrelated media. To ensure optimal performance and availability for all users, your usage must be reasonable. We reserve the right, in our sole discretion, to determine whether storage volume, file sizes, or bandwidth consumption constitute unreasonable use.

We may also apply technical limits consistent with the memorial purpose — such as per-file size limits, supported file formats, and media-processing limits — and may adjust them over time to keep the Service fast and reliable for every family.

Where we identify excessive or abusive storage usage that does not rise to the level of egregious or automated abuse, we will ordinarily contact you and allow 48 hours to reduce data consumption before taking further action. Egregious or automated abuse may result in immediate suspension or deletion of the account and its associated content without prior notice.

Important Storage Disclaimer: Memory Keep functions as an active presentation and memorial sharing platform, not a dedicated permanent data archiving or secure backup service. The Company makes no guarantees, representations, or warranties regarding the long-term retrieval, preservation, or permanent storage of information or media loaded onto the site. You are solely responsible for executing and maintaining independent copies and backups of your Content outside of the Service.

Public Memorials & QR Codes

If you choose to make your memorial public, its contents will be visible to anyone with the memorial link. Please consider this carefully before making personal or sensitive content publicly accessible. You can change a memorial's visibility at any time from the management portal.

Your memorial's QR code permanently points to your memorial's web address. You may print, engrave, or reproduce your QR code freely — the physical items you make are yours. Please note the practical consequence: if you deactivate or delete your memorial, anything printed or engraved with its QR code will lead to a page that no longer exists. We cannot re-point a code at a deleted memorial.

Taking a Memorial Offline or Deleting It

You can manage this yourself from your dashboard:

  • Deactivate — takes the memorial offline immediately. It is hidden from the web and from search, but nothing is destroyed, and you can reactivate it at any time.
  • Permanent deletion — takes the memorial offline immediately and requests permanent removal. Deletion is completed within approximately 24 hours and is irreversible: all photos, videos, tributes, and memorial data are destroyed. Please download anything you want to keep first.

Because we are a presentation service rather than an archive (see the Storage Disclaimer above), deletion means deletion — we do not keep a recoverable copy once it completes.

Service Duration — What "Forever" Means

Memory Keep is built and priced to last. One-time payments fund ongoing hosting, and we intend to operate the Service indefinitely. When our site describes a memorial as yours "forever", or refers to lifetime access, this means for the operating life of the Service — it is a statement of our commitment and how we have built the Service, not a legal guarantee that the Service can never end.

If we are ever required to discontinue the Service, we will make reasonable efforts to: (a) give at least 60 days' advance notice to the email address on your account; (b) keep the download tools available throughout that period so you can retrieve your photos, videos, and tribute keepsakes; and (c) where practicable, suggest a way to preserve or migrate your memorial. Events beyond our reasonable control — including insolvency, legal requirements, or the failure of critical suppliers — may shorten or prevent such notice. This is one more reason we encourage every family, as described in the Storage Disclaimer above, to keep independent copies of their most precious content.

Discontinuation of the Service under this section is not a breach of these Terms, and our liability in that event remains limited as set out in the Limitation of Liability below.

Service Availability

We aim to keep the Service available at all times but cannot guarantee uninterrupted access. We may carry out maintenance, updates, or emergency repairs that temporarily affect availability. We will make reasonable efforts to minimise any disruption.

Termination and Suspension

We reserve the right to immediately suspend, restrict, or terminate access to the memorial management portal and public memorials, without prior notice, if we determine — in our sole discretion — that an account has violated these Terms, engaged in security circumvention, engaged in unreasonable storage use, or utilised the Service for purposes other than its intended memorial purpose.

In the event of a violation involving excessive or abusive storage usage that does not constitute egregious or automated abuse, we will ordinarily request that you reduce your data consumption and allow 48 hours to do so before taking further action. Egregious or automated abuse will result in immediate suspension or deletion of the account and associated content.

If you wish to close your account, you can delete your memorial yourself from your dashboard (see "Taking a Memorial Offline or Deleting It" above), or contact us at [email protected] and we will help.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components.

Limitation of Liability

To the fullest extent permitted by law, Memory Keep shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of data or content. Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the Service.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.
